Terms of Service

1. Who we are

Shallist (“Shallist”, “we”, “us”) is an online tool operated by Stephen Mbadinga, sole proprietor, United States. By uploading a document or purchasing a matrix you agree to these Terms.

2. The service

Shallist extracts requirements, key facts, evaluation factors, forms, deadlines and risks from solicitation documents you upload, and produces a compliance matrix as a web view and an Excel file. Extraction is performed automatically using large language models and text-processing software. A free preview is shown before any payment.

3. Not legal or procurement advice

Shallist is an aid, not legal, procurement, or professional advice. SAM.gov (or the issuing agency’s designated system) is the system of record. You remain solely responsible for reading the solicitation, acknowledging amendments, meeting deadlines, and complying with every requirement. Automated extraction can miss, duplicate, misclassify or mis-page a requirement; every row includes a page reference so you can verify it against the source.

4. Purchases, delivery and refunds

The Compliance Matrix costs $19 (USD) per solicitation package, charged once through Stripe. Delivery is immediate on the results page and by email to the address you provided. Results links remain valid for 30 days. Refunds are governed by our Refund Policy: if the matrix is unusable, ask within 30 days and we refund the purchase.

5. Your content

You retain all rights to the documents you upload. You represent that you are permitted to upload them. You grant us a limited licence to store and process them solely to provide the service to you. We do not use your documents to train models. Files and extracted data are deleted automatically 30 days after upload. See the Privacy Policy.

Do not upload classified information. Controlled Unclassified Information (CUI) may be uploaded only if your handling obligations permit processing by a commercial cloud service.

6. Acceptable use

• No automated scraping, reselling or bulk redistribution of outputs as a competing service.
• No attempts to circumvent payment, access another customer’s results, or disrupt the service.
• No uploading of malware or content you do not have the right to process.

7. Availability and changes

We may change, suspend or discontinue features at any time. We aim for high availability but the service is provided “as is” without uptime guarantees.

8. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE MATRIX GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR LOST BIDS, LOST PROFITS, OR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING THOSE RESULTING FROM A MISSED REQUIREMENT, DEADLINE OR AMENDMENT.

10. Governing law

These Terms are governed by the laws of the United States and the state in which the operator resides, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that state unless applicable law requires otherwise.
